St. Martin’s by the Bay Homeowners Association Board of Directors’ Meeting DRAFT MINUTES September 11, 2010 10:00 a.m. DIRECTORS PRESENT: Oliver Walsh, Chair, Mike Shutt, Treasurer, Patty Dukes, Craig Pohland, Craig Constantino, Betty Young, Russell Luzier, Joe Connors. CALL TO ORDER: Chair, Ollie Walsh called the meeting to Order at 10:14 a.m. and it went into Executive Session. Treasurer’s Report: Craig Pohland provided the Treasurer’s Report since Mike Shutt participated by conference call. The Board discussed that the legal budget will be insufficient for the legal costs the community is incurring this year. The Board then reviewed the dock budget. The Board then discussed Joyce Timmons’s payment of her dues directly against the loan payment for the HOA. Mike Shutt and Ollie Walsh explained the efforts to work with the bank to prevent this from happening and reported that the deposit was adjusted to be in the correct account. The Board then discussed Joyce Timmons’s unexplained absences from recent Board meetings. Proxy committee: Betty Young advised the Board on the meeting of the Proxy Committee. She reported that Joleen Killinger had no issues with our current proxies and ballots and thought that the changes needed to be made in the process of holding elections. Betty then issued an open invitation to future meetings to anyone in the community. ADJOURNMENT: The meeting was adjourned at 11:15 a.m.
