St. Martin’s by the Bay Homeowners Association Board of Directors’ Meeting Saturday, July 10, 2010 10:00 a.m. DIRECTORS PRESENT: Oliver Walsh, Chair, Mike Shutt, Treasurer, Joyce Timmons, Russell Luzier, Joe Connors, Betty Young, Patty Dukes, Craig Pohland, Craig Constantino. CALL TO ORDER: Chair, Ollie Walsh called the meeting to Order at 10:08 a.m. MINUTES: The Board reviewed the draft minutes from May 22, 2010 and made one typographical change. Patty Dukes moved for approval of the minutes which was seconded by Betty Young and passed. REVIEW OF DUTIES: Ollie Walsh led a discussion on the review of the corporate secretary’s responsibilties. Joyce Timmons commented to the Board that she is glad to be relieved of her duties as corporate secretary so that she may pursue her current mission in the community. MOSQUITO SPRAYING: Mike Shutt confirmed that mosquito spraying is not a line item in the budget but the Board feels that it is a necessary expense which should cost a few hundred dollars at most. TREASURER’S REPORT: Mike Shutt gave the Treasurer’s Report and reported that six homeowners still had not paid their annual dues. Mr. Shutt also reviewed the dock account and noted that all slips have been paid in full and that some of the repair work for the dock has already been done. Patty Dukes moved that the Board go into Executive Session at the end of the meeting to discuss Board members’ fiduciary and ethical obligations with regard to sensitive financial and confidential materials. Joe Connors seconded the motion which was passed. Mike Shutt moved the approval of the Treasurer’s Report which was seconded by Joe Connors and passed. REPAIR UPDATE: Mike Shutt reported that Atlantic Plumbing has to repair some pipe work by the pump house doors before the doors can be repaired or replaced. WATER USAGE: The Board then discussed the water usage issue which occurred earlier this year. Mr. Walsh is working with MDE in Baltimore to discuss the permit for the water usage and reported that the HOA is looking at increasing the permit usage. Residents mentioned some homeowners which are continuing to use their sprinklers for more than the recommended time, given our water restrictions. The Board will address these issues individually with the homeowners in question. WEBSITE: In response to homeowner concerns, Craig Constantino will look at the neighborhood directory and correct any omissions or errors. DELINQUENT DUES: Patty Dukes moved that the Board consider the delinquent dues issue in executive session. This motion was seconded by Craig Pohland and passed.
